1. Introduction

Welcome to Llama Events. These Terms and Conditions ("Terms") govern your use of the Llama Events platform, website, and mobile application (collectively, the "Platform") operated by Llama Events Limited ("we," "our," or "us").

By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Platform.

2. Definitions

For the purpose of these Terms:

• "User" refers to any individual who accesses or uses our Platform.
• "Event Organizer" refers to any User who creates and manages events on our Platform.
• "Attendee" refers to any User who registers for or attends events listed on our Platform.
• "Content" refers to text, images, videos, audio, and other materials that may be viewed on our Platform.

3. Account Registration

To access certain features of our Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access our Platform and for any activities or actions under your password. We encourage you to use a strong password (using a combination of upper and lower case letters, numbers, and symbols) with your account.

4. User Conduct

You agree not to:

• Use our Platform in any way that violates any applicable national or international law or regulation.
• Use our Platform to impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our Platform.
• Use our Platform to advertise or offer to sell goods and services except as expressly permitted by us.
• Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy.
• Upload or transmit any material that contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of our Platform.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Platform.

5. Event Creation and Ticket Sales

5.1 For Event Organizers

As an Event Organizer, you are responsible for:

• Providing accurate and complete information about your events.
• Ensuring your events comply with all applicable laws and regulations.
• Obtaining all necessary permits, licenses, and insurance for your events.
• Managing ticket sales, refunds, and event cancellations in accordance with your stated policies and these Terms.
• Paying all applicable taxes related to your event ticket sales.

5.2 For Attendees

As an Attendee, you acknowledge that:

• We act as an intermediary between you and the Event Organizer.
• The Event Organizer is solely responsible for the event, including its quality, safety, and legality.
• Refunds and cancellations are subject to the Event Organizer's policies, except as otherwise required by law.
• We do not guarantee the quality or accuracy of any event listed on our Platform.

6. Fees and Payments

We charge fees for the use of certain features of our Platform. All fees are listed in Kenyan Shillings (KES) unless otherwise stated and are subject to change. We will provide notice of any fee changes by updating the fees on our Platform.

Payments are processed through third-party payment processors. By using our Platform, you agree to be bound by the terms and conditions of these payment processors.

7. Refunds and Cancellations

Refund and cancellation policies are set by Event Organizers. We are not responsible for an Event Organizer's refund policy or their failure to comply with their own policy.

If an event is canceled by the Event Organizer, we will work with the Event Organizer to issue refunds to Attendees, but the ultimate responsibility for refunds lies with the Event Organizer.

8. Intellectual Property

Our Platform and its original content, features, and functionality are owned by Llama Events and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

9. User Content

Our Platform may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material. By providing User Content to our Platform, you:

• Grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised.
• Represent and warrant that you own or control all rights in and to the User Content and have the right to grant the license granted above.
• Represent and warrant that all of your User Content does and will comply with these Terms.

10. Limitation of Liability

To the maximum extent permitted by law, Llama Events shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

11. Indemnification

You agree to defend, indemnify, and hold harmless Llama Events, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the courts of Kenya.

13. Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the Nairobi Centre for International Arbitration, which rules are deemed to be incorporated by reference into this clause.

The seat of arbitration shall be Nairobi, Kenya. The language of the arbitration shall be English.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and Llama Events regarding our Platform and supersede and replace any prior agreements we might have between us regarding the Platform.
